1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether as an individual fan, artist/band representative, talent manager, or booking agent) and BandsAgent ("Company", "we", "us", or "our"), governing your access to and use of the bandsagent.com website, APIs, internal social network, and booking exchange services.
By registering an account, logging in via magic link, or utilizing any feature of BandsAgent, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
2. Platform Roles & Verification Status
BandsAgent operates a dual-sided marketplace and communication network serving both business-to-business (B2B) talent agents and business-to-consumer (B2C) artists, bands, and fans:
- Fans & Collectors: Can browse artist rosters, curate private and public music vaults, purchase physical merchandise and vinyl, and subscribe to premium tiers.
- Musicians & Bands (B2C): Can manage catalog metadata, publish verified vinyl/merchandise drops, post tour updates to the chronological social feed, and receive booking offers. Identity verification is automatically cross-referenced against MusicBrainz and Spotify IDs before the red "Verified" badge is awarded.
- Talent Agents & Bookers (B2B): Can scout artist rosters, broadcast gig calls on the social feed, and issue binding digital booking contracts. All agent accounts are subject to mandatory manual review (agency website or LinkedIn profile verification) before receiving "Verified Agent" status.
To safeguard the social feed from spambots and unverified solicitations, all users must complete magic link email verification before posting content or issuing booking inquiries.
3. B2B Booking Contracts & Standardized Terms
When a Verified Agent submits a gig call or booking request to a band via BandsAgent, both parties agree to execute contracts using our standardized B2B entertainment engagement framework:
- Offer Issuance: All booking offers must state compensation amount, currency, venue address, performance date/time, soundcheck schedule, hospitality riders, and ticket sale splits.
- Binding Acceptance: An offer accepted digitally by an authorized band representative or manager constitutes an enforceable performance agreement.
- Platform-Mediated Payments: All booking deposits and performance guarantees must be processed via BandsAgent payment infrastructure. Off-platform fee evasion is strictly prohibited under our Communication Conduct Rules.
- Cancellation & Force Majeure: In the event of venue closure, extreme weather, or documented medical emergencies, platform mediation will adjudicate escrow deposit refunds pursuant to standardized industry force majeure riders.
4. Social Network & Communication Conduct
All interactions on the BandsAgent internal social feed and direct messaging system are strictly governed by our Communication Conduct Rules, which are incorporated by reference herein. The three cardinal rules are:
- Zero Tolerance for Spam: Mass-messaging or automated scraping of artist profiles is strictly rate-limited and forbidden.
- Zero Tolerance for Harassment: Unprofessional, discriminatory, or abusive conduct results in immediate account termination.
- Anti-Circumvention: Platform-mediated gig payments are mandatory; off-platform fee dodging results in permanent expulsion.
5. Subscription Tiers & Billing
BandsAgent offers subscription tiers for advanced analytics, unlimited collection vaults, and early booking access:
- Free Tier: Basic directory browsing, 1 curated vault, read-only social feed access.
- Pro Membership ($9.99/mo): Unlimited vault collections, lossless audio streaming, affiliate attribution tracking, verified agent badge application.
- VIP Backstage Pass ($29.99/mo): Priority booking placement, direct agent dispatch channel, automated weekly tour alert feeds, zero transaction processing surcharges.
Subscriptions automatically renew unless cancelled prior to the billing cycle through the BandsAgent account portal. All transactions are securely processed via Stripe.
6. Intellectual Property & Catalog Rights
Artists retain 100% ownership of their sound recordings, musical compositions, visual artwork, and trademarks. By uploading catalog metadata, preview audio clips, or cover art to BandsAgent, artists grant the Company a non-exclusive, worldwide, royalty-free license to display and stream preview clips for promotional and archival purposes.
7. Limitation of Liability & Governing Law
To the maximum extent permitted by applicable law, BandsAgent shall not be liable for indirect, incidental, or consequential damages resulting from gig cancellations, artist no-shows, or third-party venue defaults. These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
