Communication Conduct Rules

BandsAgent B2B Booking & Social Network Code of Professional Conduct • Version 1.0.0

BandsAgent is built for professional talent agents, artist managers, and working musicians. To protect artists from solicitation abuse and maintain a premium, trustworthy booking exchange, all account holders must strictly adhere to the following mandatory conduct requirements.

Cardinal Rule 01

No Mass-Spamming of Booking Requests

Agents and talent buyers are strictly prohibited from broadcasting generic, non-specific, or automated booking spam across artist rosters. Every booking inquiry and gig call must be tailored, stating legitimate venue information, performance dates, and realistic financial parameters.

  • Automated Rate Limits: Unverified accounts are limited to a maximum of 10 booking inquiries per 24 hours. Verified Agent accounts are limited to 50 customized booking solicitations per day.
  • Template Blasting: Sending copy-paste generic inquiries to more than 5 distinct bands within 60 minutes triggers an automated temporary communication freeze pending audit.
  • Scraping & Bots: Scraping email addresses or contact forms using automated headless scripts is strictly banned and monitored via our observability firewall.
Enforcement Action: First infraction: 7-day messaging suspension. Subsequent infractions: Immediate permanent account termination.
Cardinal Rule 02

Zero Tolerance for Harassment or Unprofessional Conduct

BandsAgent maintains an uncompromising zero-tolerance policy against intimidation, abusive language, predatory contracting, discrimination, or non-consensual solicitation.

  • Respectful Negotiation: All communications between agents and artists regarding riders, compensation, set times, and billing order must remain strictly civil and professional.
  • Predatory Terms: Submitting offers with deceptive clauses (e.g. undisclosed pay-to-play fees, unauthorized merchandising clawbacks, or retroactive deductions) is strictly prohibited.
  • Doxxing & Retaliation: Publishing private negotiation details, direct phone numbers, or private management emails without written authorization is strictly grounds for instant expulsion.
Enforcement Action: Instant account suspension, immediate revocation of "Verified Agent" status, and referral to partner talent guild blacklists.
Cardinal Rule 03

Strict Adherence to Platform-Mediated Payments (Anti-Fee Dodging)

BandsAgent maintains an escrow and digital contracting infrastructure that guarantees artist compensation and holds venue deposits. Attempting to circumvent platform-mediated payments to dodge booking fees or escrow protections is strictly prohibited.

  • Prohibited Actions: Soliciting artists to take payments "off-platform" via paper checks, unrecorded wire transfers, or third-party peer-to-peer cash apps for deals originated on BandsAgent.
  • Escrow Guarantee: Performance guarantees must be deposited into the BandsAgent Stripe escrow at least 72 hours before the performance date. Funds are released directly to the artist's bank account upon show completion confirmation.
  • Fee Structure Integrity: Platform booking fees fund identity verification, contract enforcement, and payment dispute mediation. Circumvention deprives both parties of insurance and dispute protection.
Enforcement Action: Permanent ban of both soliciting agent and complicit parties, forfeiture of accumulated platform credits, and liquidated damages up to 25% of the total off-platform contract value.

Standardized B2B Booking Contract Framework

All formal gig invitations sent through BandsAgent automatically generate our standardized digital contract incorporating the following mandatory clauses:

  • Performance Specs: Date, show time, set duration (min. 45 mins), stage size, and sound engineer requirements.
  • Financial Terms: Guaranteed flat fee, percentage of door/ticket gross (if applicable), and catering/travel buyouts.
  • Escrow Schedule: 50% deposit upon contract signature; remaining 50% held in escrow and released post-performance.
  • Force Majeure Rider: Neither party is liable for failure of performance caused by acts of God, epidemic, government shutdown, or catastrophic venue failure. Escrow deposits return to the talent buyer minus non-refundable artist travel expenses incurred.

Reporting Violations & Dispute Escalation

If you encounter spam, abusive messages, or off-platform payment solicitations:

  1. Use the "Report to Compliance" action directly on any message, post, or contract offer.
  2. Email urgent reports with screenshots to compliance@bandsagent.com.
  3. The BandsAgent Legal & Compliance team reviews all flagged transmissions within 4 business hours. Verified bad actors are permanently suspended.
